Bylaws of the Scott County Republican Central Committee

Article 1 — Officers

Sec. 1 – The Executive Board of the County Central Committee shall serve at the pleasure of the County Central Committee (hereinafter referred to as the Central Committee) and shall discharge the duties described below:

The Chair shall preside at the meeting of the Central Committee and serve as its spokesperson. The Chair shall provide the leadership and direction necessary for fulfillment of the purpose of the Central Committee, subject to the provisions of the bylaws and the concurrence of the Central Committee in matters of policy. The Chair, after consultation with the Vice-chairs, may establish special committees and appoint all committee members.

  1. The Vice-chairs shall assist the Chair in the fulfillment of his duties and assume those duties in the absence of the Chair.
  2. The Secretary shall keep minutes of all meetings of the Central Committee and the Executive Board and all other records including but not limited to minutes. The secretary shall record attendance at the said meetings. They also shall make available by reviewing at each meeting of said committee. The Secretary shall perform such other duties as may pertain to the office, and as specified in these bylaws.
  3. The Treasurer shall maintain all financial records for the Central Committee and prepare file records in accordance with federal and state laws. He shall make available said records upon request by members of the Central Committee by the next meeting. No money shall be expended by the Treasurer unless expenditure has been approved by the Chair or Vice-chairs in the absence of the Chair.

Sec. 2 – The officers shall be elected by the Central Committee at the Central Committee meeting following the General Election, but no later than April 1. The officers shall serve at the pleasure of the Central Committee. In the event a vacancy occurs in the office of a Vice-chair, Secretary or Treasurer, the Chair shall call a meeting of the Central Committee for the purpose of filling such vacancy. If the offices of Chair and Vice-chairs are vacant, the Secretary, or in his/her absence, the Treasurer, shall call a special meeting of the Central Committee for the purpose of filling any vacancies. In the event that all offices are vacant or in the event of a vacancy in any one office for a period of more than thirty days, a meeting for the purpose of filling vacancies may be called by the Chair of the District Executive Committee.

Sec. 3 –  The Central Committee shall be notified at least ten days in advance of any meeting at which it is proposed to fill a vacancy in the position of Chair, Vice-chairs, Secretary, or Treasurer.

Article 2 — Committees

Sec. 1 – Standing Committees of the Central Committee may be empowered by the Central Committee and in appropriate circumstances by the Chair, after consultation with the Vice-chairs, to make determinations, make recommendations, and implement action consistent with the purposes and the policies of the Central Committee. The Executive Board may create standing committees and fill the chairman roles by appointment. Some standard examples include but are not limited to:

  • Special Projects Committee
  • Campaign Committee
  • Budget Committee
  • Legislative Committee
  • Communications/Social Media Committee
  • County Convention Committee
  • Fundraising Committee

Sec. 2 – Special committees may be established for a specified time by the Central Committee or the Chair, after consultation with the Executive Board to perform specified tasks.

Sec. 3 – Chairs of committees and members may be removed by the Central Committee Chair after consultation with the Executive Board.

Sec. 4 – The Central Committee Chair and Vice-chairs can be members of all standing committees.

Article 3 — Executive Board

The members of the Executive Board shall include the Chair, three Vice-chairs, Secretary, Treasurer, and the immediate past Chair.

Article 4 — Advisory Committee

Sec. 1 – The members of the Advisory Committee shall include the officers, Chair of the standing committees, and the Chair of the County Republican Auxiliary Organizations.

Sec. 2 – The Advisory Committee shall assist the Chair and Vice-chairs in coordinating Republican activities in the County.

Article 5 — Meetings

Sec. 1 – Regular meetings of the Central Committee shall be held at least quarterly and be called by the Chair, a Vice-chair or 30% of the duly elected and serving members of the Central Committee.

Sec. 2 – Meetings shall be convened upon written calls of the Chair, a Vice-chair, or 30% of the duly elected and serving members of the County Central Committee.

Sec. 3 – Notice of each meeting shall be announced to each Central Committee member at least 10 days prior to the meeting date, either by U.S. Mail, email, text, or phone.

Sec. 4 – A quorum for the conduct of business shall consist of 30% of the duly elected and serving members of the Central Committee.

Sec. 5 – In the event a member of the Central Committee is unable to attend a duly called Central committee meeting, he/she shall notify the Chair, a Vice-chair, or Secretary prior to said meeting.

Sec. 6 – Roberts Rules of Order Revised shall prevail at all meetings of the committees except as shall be altered by the Code of Iowa, the Republican Party Constitution or by the Constitution or bylaws of this Committee.

Article 6 — Property, Records, and Personal Responsibility

Sec. 1 –  All records and property purchased or acquired by the Central Committee or any of its volunteers in connection with the conduct of the affairs of the Central Committee shall be the property of the Central Committee. Records shall be open for inspection upon request by Committee members. A roster of the Central Committee containing precincts, full names, and contact information shall be distributed annually and/or by request of a Precinct Committeeman.  

Sec. 2 – Contract — checks — loans — deposits.

  1. Contracts — The Central Committee may authorize the Chair or Treasurer to enter into any contract or execute and deliver any instrument in the name of and on behalf of said Committee.
  2. Loans — No loans shall be contracted on behalf of the Central Committee and no evidence of indebtedness shall be issued in its name unless authorized by a resolution of said Committee.
  3. Checks, drafts, etc., — All checks, drafts or other orders for the payment of money, notes or other evidence of indebtedness issued in the name of the Central Committee shall be signed by the Treasurer of the Central Committee, and/or his designee. All expenditures shall be approved by the Chair or Vice-chairs.
  4. Deposits — All funds under control of the Central Committee shall be deposited to the credit of said Committee in such banks, trust companies, savings and loan institutions, or other depositories as the Central Committee may select. All funds of the Central Committee shall be segregated from any personal funds of the officers, members or associates of the Central Committee.

Sec. 3 – No member of the Central Committee shall be liable personally for any obligations of the Central Committee, except that each individual is responsible personally for the prompt transmittal of funds collected by him to the Treasurer, and for the accurate accounting as to funds and property in his custody on behalf of the Central Committee.

Article 7 — Minimum Performance

Sec. 1 – Minimum performance by Central Committee members include:

  1. Being a registered Republican.
  2. Attending at least 50% of the meetings held by the Central Committee in a calendar year.
  3. Assisting with the precinct caucuses.
  4. Cooperating with Central Committee fundraising activities in his precinct.
  5. Cooperating with organizational activities in his precinct such as voter registration or canvas activities.
  6. Assisting with election day activities in his precinct.
  7. Supporting the Central Committee, its leadership, and candidates nominated by the Republican Party.

Sec. 2 – A member of the Central Committee may be removed by a majority vote of members at a meeting of the Central Committee if the member actively supports an opponent of a Republican nominee or fails to properly carry out his duties. Notice of the removal must be given to said member 10 days before said meeting at which the removal action will be considered. The member shall be given an opportunity to be heard when the removal question is before the Central Committee.

Article 8 — Conflict with Statutes

No provision hereof shall supersede or abrogate any of the provisions of the statutes of the State of Iowa, the Constitution of the Republican Party of Iowa, and the rules of the Republican National Convention.

Article 9 — Amendments to Bylaws

These bylaws may be amended by majority vote of the members of the Central Committee present at any meeting of the County Central Committee. Written notice of the proposed amendment and a full copy thereof shall be forwarded to the members of the Central Committee at least 10 days before the meeting at which said amendment is to be presented for consideration with final vote at the next following meeting.
